Our independent in-house actuarial team is focused on providing accurate and timely analysis of your entity's performance including loss reserve analysis and statutory loss reserve-certification, treaty (re)insurance pricing, pricing model peer review, capital adequacy testing, fair value estimation and assistance during merger and acquisition due diligence.
Our experts are on hand to perform a number of underwriting and claims reviews, as well as audits, once the entities have been formed to ensure operating efficiencies and compliance.

Corporate Services.

We provide comprehensive and bespoke services designed to support the ILS and alternative investment industries. Artex Capital Solutions has built a seasoned and dedicated team of corporate governance professionals to support our clients' operational and administrative offshore activities and to provide oversight of regulatory, legal and best practice developments in the applicable jurisdiction to ensure continuing compliance.

We will liaise with your Bermuda legal counsel and your entire Artex team regarding the structure and organization of the entity and collect KYC on Controllers. In addition, we can facilitate the incorporation of the new entity, including reserving a company name with the Registrar of Companies, preparing constitutional documents, liaising with the regulatory authorities to obtain the required approvals and then facilitating the organizational meetings.
We provide a company secretary who conducts the roles and responsibilities of a secretary including ensuring compliance with statutory requirements, liaising with regulators (as necessary) and establishing bank and brokerage accounts. Additionally, we facilitate ongoing administration, provide advice on corporate governance practices and ensure that the entity remains in compliance with all applicable regulatory requirements, including conducting both anti-money laundering (AML) and anti-terrorist financing (ATF) activities.
We are able to maintain the official address and statutory books and records including preparing and submitting regulatory filings as well as the payment of statutory fees. We can also act as "Resident Representative" and "Segregated Accounts Representative."
Acting as a director, we follow the best practices and adhere to the constitutional documents under which the entity has been organized, formed and is operating. Additionally, we participate in board and investor meetings as well as sub-committees and can act as an authorized bank signatory.
We maintain the share register for private companies and will process share issuances, redemptions and transfers ensuring that all corporate records are updated and all regulatory requirements are met. We conduct AML/ATF and provide Foreign Account Tax Compliance Act (FATCA) and Common Reporting Standards (CRS) reporting upon request.
Our specialized focus on funds and insurance-linked securities enables us to prepare listing applications and prepare and/or collect supporting documents. Our team also liaises with legal counsel as required.
